Registration of a limited liability company online

According to the Constitution of Ukraine, everyone has the right to engage in entrepreneurial activity, unless it is prohibited by law. The most common type of business entity is a limited liability company (LLC).

Article 140 of the Civil Code of Ukraine (the "CCU") defines an LLC as a company founded by one or more persons, the authorized capital of which is divided into shares.

Pursuant to Article 114 of the Civil Code of Ukraine, an individual or a legal entity may be a member of a business entity, including an LLC. Restrictions on participation in business entities may be established by law.

An LLC may be established by a single person who becomes its sole shareholder.

According to the provisions of the Law of Ukraine "On Limited Liability Companies and Additional Liability Companies", the number of company members is not limited.

Previously, an LLC could only be registered with the assistance of a state registrar by submitting documents in both paper and electronic form. At the same time, the LLC registration procedure has been significantly simplified, as from August 24, 2022, the service of registering an LLC on the basis of the model charter online automatically through the Unified State Web Portal of Electronic Services (hereinafter referred to as the Diia Portal) became available in Ukraine.

To register an LLC based on the model charter through the Diia Portal, you need to:

1. Go to the Diia Portal and register or log in to the citizen's account.
2. Select the service "Registration of an LLC on the basis of a model charter".
3. Fill out the online form for the service and enter the necessary information, select the necessary options for the model charter or the "default" version of the charter, and sign the application with an electronic signature. After that, the system will automatically generate and send for registration: the application, the decision of the founders/founder, the charter and the ownership structure.

An LLC will be registered automatically if:

• all founders are exclusively individuals, citizens of Ukraine;
• the director and authorized representative have no restrictions on their activities;
• a unique entry number in the Unified State Demographic Register of all beneficial owners is provided (it can be found in an ID card or biometric passport);
• the name of the LLC does not contain any words prohibited by law (if it does, you will receive a message with tips).

If the application meets the specified conditions, the LLC will be registered automatically. You will receive a notification within 10 minutes. If it does not meet at least one of the conditions, the registration will take place with the participation of the state registrar, online, within 1 business day.

If you have chosen a taxation system (both general and simplified), the corresponding marks are put in the application for state registration. Information about the taxation system you have chosen will be automatically sent to the tax authority at the location of the legal entity.

After submitting the application, its status can be checked in the Citizen's Account in the Services section - Ordered Services. The notification of LLC registration or refusal will appear in the "Please note" section and will be duplicated by e-mail.

When the LLC is registered, a record of this will appear in the Unified State Register of Legal Entities, Individual Entrepreneurs and Public Organizations. You can get an extract of this record in the "Received documents" section of the citizen's account. Information on the taxpayer's registration will appear in the Taxpayer's Electronic Account.
