State registration of separate divisions of legal entities established in accordance with the laws of foreign countries
On September 3, 2024, Law of Ukraine No. 3257-IX "On Amendments to Certain Legislative Acts of Ukraine on the Regulation of Activities of Separate Subdivisions of Legal Entities Established in Accordance with the Laws of Foreign Countries" came into force.
Accordingly, state registration of separate subdivisions will be carried out exclusively through the Unified State Register of Legal Entities, Individual Entrepreneurs and Public Organizations (the "Unified State Register") by applying to the authorized state registration authorities.
Such bodies include executive bodies of village, town and city councils, state administrations of Kyiv and Sevastopol, district administrations, as well as notaries.
In order to ensure the appropriate registration, the Ministry of Justice of Ukraine, by its Order No. 2518/5 dated August 26, 2024 "On Amendments to the Order of the Ministry of Justice of Ukraine No. 3268/5 dated November 18, 2016", approved a new application form for registration of a separate subdivision of a legal entity established in accordance with the laws of a foreign state (Form 11). This form can be found on the website of the Ministry of Justice in Excel and PDF formats by following the link.
After the registration of a separate subdivision of a legal entity is completed, there will be no need to apply to the state statistics authorities to obtain an identification code in the Unified State Register of Enterprises and Organizations of Ukraine.
As for the existing separate subdivisions of legal entities established in accordance with the laws of foreign countries, all information on branches and representative offices that were registered (accredited) before September 3, 2024 will be transferred by the Ministry of Justice of Ukraine to the Unified State Register. This process will take some time.
At the same time, if a separate subdivision needs to receive a public service or make changes to its data, and the information about it has not yet been transferred to the Unified State Register, it may apply to the Ministry of Justice of Ukraine with an application (Form 11) to transfer this data.
The application may be submitted in person by a representative of the unit or sent by mail with the applicant's signature notarized. No additional documents or payment of an administrative fee is required for the transfer. A notification of the data transfer to the Unified State Register will be sent to the e-mail address specified in the application.
