The Rada explains the abolition of the Commercial Code

The Committee on Economic Development has considered and recommended for the second reading the draft law on peculiarities of regulating business activities of certain types of legal entities and their associations in the transition period.

This was announced by Chairman of the Verkhovna Rada of Ukraine Ruslan Stefanchuk.

According to him, the draft law has undergone a series of public discussions, and meetings with judges, scholars, and representatives of civil society have been held.

"As a result, the draft law has become more sophisticated and removes some of the reservations and concerns that were expressed about the first version of the law. But in general, it is still aimed at bringing our private legislation in line with the requirements and standards of the European Union during the transition period," he said.

The Speaker of the Parliament noted that this document is a way to de-Sovietize Ukrainian legislation and refuted a number of myths that are not true.

"This law is in no way aimed at abolishing special legislation in the field of economic activity, it remains in force in all its diversity. Only the old, "soviet" Commercial Code, which was adopted in 2003 as opposed to the pro-European Civil Code, is being abolished, and as of today has become a diluted legal act, which mostly consists of reference (blanket) norms," said Ruslan Stefanchuk.

He clarified that some provisions of the Commercial Code of Ukraine have remained in force in this law and will remain in effect during the transition period.

The Chairman of the Parliament also emphasized that the draft law No. 6013 is not aimed at liquidating economic courts and economic jurisdiction.

"Economic courts, economic jurisdiction, and economic and legal specialization will continue to exist after the adoption of this law, just as they existed before the adoption of the Economic Code. Based on the results of the discussion of this draft law with "economic judges" representing various courts, on the contrary, it was about improving the economic process and removing those obstacles that prevent it from being more effective," the Chairman of the Verkhovna Rada said.

In addition, the speaker emphasized, the draft law is not aimed at eliminating the departments of commercial law at universities or research institutes that deal with commercial law, as they, on the contrary, have great potential for the development of special legislation and its application.

"I hope that Ukraine will receive another important legislative reform that will bring us closer to European private law and enable the powerful development of Ukrainian civil law and legislation," Ruslan Stefanchuk summarized.
