Just about the important things: the intricacies of naming a legal entity

The Law of Ukraine "On State Registration of Legal Entities, Individual Entrepreneurs and Public Organizations" sets forth requirements for the name of a legal entity or its separate subdivision.

The name of a legal entity must contain information on its organizational and legal form (except for state bodies, local governments, authorities of the Autonomous Republic of Crimea, state and municipal organizations, institutions, establishments, as well as the case provided for in the second paragraph of Article 16 of the Law of Ukraine "On State Registration of Legal Entities, Individual Entrepreneurs and Public Organizations") and its name.

The organizational and legal form of a legal entity is determined in accordance with the classification of organizational and legal forms of business approved by the central executive body that ensures the formation and implementation of state policy in the field of technical regulation.

The name of a legal entity may consist of the legal entity's own name, as well as contain information on the purpose of activity, type, method of formation, dependence of the legal entity and other information in accordance with the requirements for the name of certain organizational and legal forms of legal entities established by the Civil and Commercial Codes of Ukraine and this Law.

The name of a legal entity may not be identical to the name of another legal entity (except for local self-government bodies).

The names of legal entities and their separate subdivisions may not include

- full or abbreviated names of state bodies or local self-government bodies, or derivatives of these names, or historical state names, the list of which is established by the Cabinet of Ministers of Ukraine - in the names of legal entities of private law

- symbols of the communist and/or national socialist (Nazi) totalitarian regimes, the prohibition of use of which is established by the Law of Ukraine "On Condemnation of the Communist and National Socialist (Nazi) Totalitarian Regimes in Ukraine and Prohibition of Propaganda of Their Symbols";

- symbols of Russian imperial policy in accordance with the Law of Ukraine "On Condemnation and Prohibition of Propaganda of Russian Imperial Policy in Ukraine and Decolonization of Place Names";

- symbols of the military invasion of Ukraine by the Russian Nazi totalitarian regime;

- terms, abbreviations, derivative terms, the prohibition of the use of which is provided for by law.

Laws may establish specifics of the name of companies, holding companies, banks, pension funds, corporate investment funds, chambers of commerce and industry, educational institutions, insurers, volunteer organizations, law firms, state lottery operators, associations of local governments and their voluntary associations, political parties, public associations, trade unions, their organizations and associations, employers' organizations, their associations, credit unions and united credit unions.

The name (full or abbreviated) of a separate subdivision of a legal entity is determined in the regulations or other constituent document on such separate subdivision and consists of the type of separate subdivision, its own name (if any) and the name (full or abbreviated) of the relevant legal entity.

The requirements for writing the name of a legal entity, its separate subdivision, the name of a separate subdivision of a legal entity established in accordance with the legislation of a foreign state, a public formation that does not have the status of a legal entity, except for a trade union organization, are established by the Ministry of Justice of Ukraine.
